These Terms of Service (“Terms” or “Agreement”) are a legally binding agreement between you (“you” or “your”) and Shagriha US LLC (“Shagriha,” “we,” “us,” or “our”).

These Terms govern your access to and use of:

the Shagriha website available at www.shagriha.com and its pages and features (the “Site”);

Shagriha's web-based applications and platform features;

any Shagriha mobile application that we may introduce in the future; and

the products, features, tools, and services made available by Shagriha through these platforms.

Collectively, these are referred to as the “Services.”

Please read these Terms carefully before using Shagriha.

By creating an account, signing in, clicking an acceptance button or checkbox where presented, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not use the Services.

1. About Shagriha

Shagriha is a technology platform designed to help people discover, list, evaluate, and communicate about residential rental properties.

Depending on the features available at a particular time, Shagriha may allow users to:

Search and browse rental properties
Search properties by city, address, neighborhood, or geographic area
View property details and photographs
Use property-search filters
View properties using map-based search
Save or favorite properties
Contact property owners or managers
Submit rental inquiries or applications
Create and manage property listings
Upload property photographs
Communicate through Shagriha messaging features
Manage tenant or property-manager profiles
Manage applications related to properties
Future versions of Shagriha may also provide:
Lease-management functionality
Monthly lease renewals
Rent or other payments
Electronic documents
Notifications and reminders
Ratings or reviews
Property recommendations
AI-assisted search
AI-powered question answering
Property match scores
Rental or pricing insights
Additional mobile-app functionality

Not every feature described in these Terms will necessarily be available at all times.

2. Shagriha Is a Technology Platform

Unless Shagriha expressly states otherwise for a particular service, Shagriha provides technology that helps users connect regarding rental properties.

Shagriha is not automatically:

the owner of properties listed by users;
the landlord of properties listed by users;
the property manager of properties listed by users;
a party to a lease entered into between users;
a guarantor of rent;
a guarantor of property availability;
a guarantor of a tenant's eligibility;
a guarantor of information provided by another user; or
a real estate, legal, financial, tax, insurance, or investment advisor.

Property owners and managers remain responsible for the properties they list and their dealings with prospective or actual tenants.

Tenants remain responsible for evaluating properties, landlords, lease terms, and related information before entering into a rental agreement.

If Shagriha later offers a service in which it assumes additional responsibilities, the applicable terms for that service may supplement these Terms.

3. Eligibility

You must be at least 18 years old, or the legal age required to enter into contracts where you live, to create a Shagriha account or enter into transactions through the Services.

By using Shagriha, you represent that:

you satisfy applicable age requirements;
you have the legal capacity to accept these Terms;
the information you provide is truthful and accurate; and
you will use Shagriha only for lawful purposes.

4. Types of Users

Shagriha may support different account roles.

Tenant

A Tenant may use Shagriha to search for properties, review listings, save properties, communicate with property managers, and use application or leasing features when available.

Homeowner, Property Manager, or Listing Agent

A homeowner, property manager, or other authorized listing user may use Shagriha to create and manage property listings, receive inquiries or applications, communicate with potential tenants, and use property-management features available through Shagriha.

A single Shagriha account may be permitted to use more than one role.

For example, a user who originally registers as a Tenant may later become a property Manager or Homeowner through an onboarding or account-update process.

5. Guest Access

Certain Shagriha features may be available without creating an account.

Guests may, for example, be permitted to:

Search for properties
Use search filters
View maps
View publicly available listings
Open property-details pages

Shagriha may require you to create or sign into an account before completing certain actions, including:

Saving or favoriting a property
Messaging another user
Creating a property listing
Submitting an inquiry
Submitting an application
Managing listings
Accessing a dashboard
Entering into a lease
Making a payment

Where technically supported, Shagriha may attempt to return a user to the page or action they were using before authentication.

6. User Accounts

Certain Services require a Shagriha account.

When registering, you may be required to provide information such as:

First name
Last name
Email address
Password
Account role
Other profile information reasonably required for the Service
You agree to provide accurate and current information.
You are responsible for protecting your login credentials.

You must not knowingly allow an unauthorized person to access your account.

Shagriha may require additional steps to verify account ownership.

7. Google and Third-Party Authentication

Shagriha may allow users to register or sign in using third-party authentication providers such as Google or Meta/Facebook.

If you choose a third-party authentication method, you authorize Shagriha to receive the account information that the provider permits you to share with us.

Third-party authentication services are also governed by the terms and privacy policies of their respective providers.

Shagriha does not control those third-party services.

8. Property Listings

Users authorized to create property listings are responsible for ensuring that their listings are accurate, lawful, and authorized.

Listing information may include:

Property address
Geographic location
Property type
Rental amount
Bedrooms
Bathrooms
Amenities
Property descriptions
Property photographs
Availability
Rental terms
Policies and restrictions
Other property-related information

A listing user represents that they have the legal right or appropriate authorization to advertise the property.

Listing users must not intentionally provide false or misleading information.

9. Draft and Published Listings

Shagriha may allow property listings to be saved as drafts before publication.

A draft property may be associated with the account that created it and may not appear publicly in search results until it satisfies Shagriha's publishing requirements.

Once a property is successfully published, Shagriha may make it available through:

Search results
Map results
Property detail pages
Geographic searches
Filtered searches
Recommended-property features

Shagriha may establish technical or content requirements that must be satisfied before a listing can be published.

10. Property Search and Map Features

Shagriha may provide search functionality based on:

Address
City
State
ZIP code
Neighborhood
Price
Property type
Amenities
Geographic boundaries
Distance
Other property characteristics

Shagriha may also show relevant nearby properties when an exact search does not produce an exact listing match.

For example, a search for a particular location in Denton, Texas may also return other available Shagriha properties in Denton or a reasonably related surrounding area.

Search results are provided for convenience and may not always be exhaustive, perfectly ordered, or error-free.

11. Mapping, Geocoding, and Location Data

Shagriha may use third-party mapping and location services, including services such as Mapbox, to provide:

Maps
Address autocomplete
Geocoding
Geographic coordinates
Property locations
Map search
Nearby points of interest
Location-based recommendations

Map locations, routes, nearby places, travel estimates, and geographic information may be supplied by third-party providers and may contain errors or become outdated.

Users should independently verify information when location accuracy is important.

12. Applications and Rental Inquiries

Shagriha may allow Tenants to submit inquiries or applications relating to properties.

Submitting an inquiry or application does not guarantee:

that the property is still available;
that the application will be reviewed;
that the applicant will be approved;
that the applicant will receive a lease;
that information supplied by the listing user is accurate; or
that a rental transaction will occur.

Property owners and managers are responsible for making their own lawful leasing decisions.

13. Fair Housing and Non-Discrimination

Users must comply with applicable federal, state, and local fair-housing and anti-discrimination laws.

Users may not use Shagriha to unlawfully discriminate against any person based on a legally protected characteristic.

Property owners and managers are responsible for ensuring that their:

listings;
screening practices;
communications;
application decisions;
rental requirements; and
leasing practices
comply with applicable law.

Shagriha may remove content or suspend accounts that it reasonably believes violate applicable housing or anti-discrimination laws or Shagriha policies.

14. Messaging

Shagriha may provide messaging functionality to allow users to communicate regarding properties, applications, leases, or related matters.

Users must not use Shagriha messaging to:

Harass or threaten another person
Send spam
Commit fraud
Distribute malware
Send unlawful advertising
Impersonate another person
Request information for unlawful purposes
Violate another person's rights
Users are responsible for the content of messages they send.

Shagriha may access or preserve communications where reasonably necessary for:

technical support;
security;
fraud prevention;
abuse investigations;
enforcement of these Terms; or
compliance with applicable legal requirements.

Private messages are not intended to be publicly displayed as property-listing content.

15. User Content

“User Content” means content submitted by users through Shagriha, including:

Property descriptions
Property photographs
Profile photographs
Messages
Reviews, if introduced
Comments
Documents
Listing information
Other uploaded content

You retain ownership of the User Content that you own.

By submitting User Content to Shagriha, you grant Shagriha a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, resize, format, and otherwise use that content only as reasonably necessary to:

operate the Services;
display the content as you requested;
provide property listings;
deliver messages;
store uploaded content;
provide technical functionality;
protect the Services;
and improve Shagriha.

This license continues for as long as reasonably necessary to provide the relevant Service or meet legitimate legal, security, and backup requirements.

Shagriha does not claim ownership of your User Content merely because you upload it.

16. Property Photographs and Intellectual Property

You may upload only photographs or other materials that:

you own;
you created;
you are authorized to use; or
you otherwise have the legal right to publish.
You must not upload copyrighted photographs, floor plans, documents, logos, or other materials without permission where permission is legally required.

Shagriha may remove content that reasonably appears to violate intellectual-property rights.

17. Prohibited Activities

You may not use Shagriha to:

Commit fraud
Impersonate another person
Publish intentionally false property listings
List properties you are not authorized to list
Misrepresent rental prices or availability
Engage in unlawful discrimination
Harass or threaten users
Send spam
Upload malware or harmful software
Circumvent authentication or security
Attempt unauthorized access to another account
Scrape or systematically extract Shagriha data without authorization
Use automated bots in a manner that interferes with Shagriha

Reverse engineer protected portions of the Services except where applicable law expressly permits it

Overload or attack Shagriha infrastructure
Manipulate search results
Create fraudulent applications or identities
Use Shagriha for an unlawful purpose

Violate intellectual-property, privacy, publicity, or other legal rights

Shagriha may investigate suspected violations and take appropriate action.

18. Removal of Listings and Content

Shagriha may remove, restrict, hide, or disable content or listings that we reasonably believe:

violate these Terms;
violate applicable law;
infringe intellectual-property rights;
are fraudulent;
contain materially misleading information;
pose a security risk;
constitute spam;
contain abusive or unlawful content; or
threaten the safety or integrity of Shagriha or its users.

Shagriha is not obligated to monitor every listing or communication before it is published.

19. Favorites and Saved Properties

Shagriha may allow users to save or favorite properties.

A saved property does not guarantee:

continued availability;
a particular rental price;
approval of an application; or
that the property will remain listed.

Listings can be changed, removed, rented, or made unavailable at any time.

20. Future Lease Features

Shagriha may introduce functionality that allows users to create, manage, review, sign, renew, or track rental agreements.

If introduced, additional terms may apply.

Unless Shagriha expressly states otherwise, Shagriha is not a party to a lease entered into between a Tenant and a property owner or manager.

Users are responsible for reviewing and understanding any agreement before signing it.

Shagriha does not provide legal advice concerning lease terms.

21. Future Payments

Shagriha does not need to offer payment processing merely because these Terms mention future payment capabilities.

If and when payments are introduced, Shagriha may allow users to make or receive:

Rent payments
Deposits
Application fees
Lease-related payments
Subscription charges
Other permitted transactions
Payments may be handled through a third-party payment processor such as Stripe or another payment provider.
Additional payment terms may apply at that time.

Shagriha may not directly store complete payment-card information when it is processed by a third-party payment provider.

Users are responsible for ensuring that payment and billing information they provide is accurate.

22. Refunds and Payment Disputes

If Shagriha introduces paid services, applicable cancellation, refund, dispute, and chargeback rules will be disclosed for the applicable transaction or service.

Shagriha does not currently make a blanket representation that every future payment will be non-refundable.

Refund rights may depend on:
the transaction;
the applicable property agreement;
the payment processor;

Shagriha's applicable service terms; and applicable law.

23. Future AI and Recommendation Features

Shagriha may introduce artificial intelligence, machine learning, or algorithmic features.

These may include:

Property recommendations
Search ranking
Property match scores
Natural-language property search
AI-assisted question answering
Rental-market insights
Listing summaries
Price-related insights
Personalized suggestions
AI-generated or algorithmically generated information is provided for informational purposes.

Such results may be incomplete, inaccurate, outdated, or unsuitable for a particular user's circumstances.

Users should independently verify information before making rental, financial, legal, or other important decisions.

Shagriha may modify, test, replace, or discontinue AI features as the platform evolves.

Nothing provided by an AI feature should be considered legal, financial, tax, real-estate, or other professional advice.

24. No Guarantee of Property or User Verification

Unless Shagriha expressly states that a specific verification process has been completed, the existence of a profile or listing on Shagriha does not mean Shagriha has independently verified:

a person's identity;
ownership of a property;
authority to lease a property;
property condition;
property availability;
licensing;
financial information;
background information;
creditworthiness;
rental history; or
representations made by another user.

Users should use reasonable judgment and perform appropriate independent verification before entering into agreements or transferring money.

25. Third-Party Services

Shagriha may rely on third-party services for functionality such as:

Authentication
Maps
Geocoding
Cloud infrastructure
Image storage
Email delivery
Analytics
Error monitoring
Payment processing
AI infrastructure
Other technical services

Third-party services may have their own terms and privacy policies.

Shagriha does not control third-party services and is not responsible for their independent acts or practices.

26. Electronic Communications

By creating a Shagriha account, you agree that we may send you communications reasonably necessary to operate your account and provide the Services.

These may include:

Account verification
Security alerts
Password-reset messages
Application updates
Property inquiries
Messaging notifications
Listing updates
Service announcements
Transactional notifications

Where permitted and where required consent has been obtained, Shagriha may also send promotional communications.

You may unsubscribe from optional marketing emails using the unsubscribe mechanism provided in those communications.

Opting out of promotional messages will not necessarily stop essential account, security, transactional, or legal communications.

27. Ownership of Shagriha

Except for User Content, Shagriha and its licensors own or lawfully use the intellectual property associated with the Services, including:

Software
Website design
Application design
Source code and object code
Logos
Shagriha branding
Documentation
Databases
Original graphics
Platform functionality

These Terms do not transfer ownership of Shagriha intellectual property to you.

28. Limited License

Subject to these Terms, Shagriha grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.

You may not sell, sublicense, copy, reproduce, distribute, or commercially exploit Shagriha software or proprietary content except as permitted by Shagriha or applicable law.

29. Mobile Applications

Shagriha may introduce mobile applications in the future.

If a mobile application is distributed through the Apple App Store, Google Play Store, or another platform, additional store-specific terms may apply.

Until such an application is released, references to future mobile applications in these Terms do not represent that a Shagriha mobile app is currently available.

30. Suspension and Termination

Shagriha may suspend, restrict, or terminate an account where reasonably appropriate, including when we believe:

these Terms have been violated;
fraudulent activity has occurred;
the account creates a security risk;
another person's rights are being violated;
the account is being used unlawfully; or
suspension is required by law.
Shagriha may also discontinue or modify portions of the Services.

Where appropriate and legally required, Shagriha may provide notice.

Users may stop using Shagriha at any time and may request account deletion as described in our Privacy Policy.

31. Service Availability

Shagriha is an evolving software platform.

The Services may occasionally experience:

Maintenance
Technical errors
Server outages
Network failures
Third-party service interruptions
Bugs
Delays
Data synchronization problems

We do not guarantee that every feature will operate without interruption or error.

We may change, test, add, or remove features as the product develops.

32. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHAGRIHA AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SHAGRIHA DOES NOT GUARANTEE THAT:

EVERY LISTING IS ACCURATE;
EVERY PROPERTY IS AVAILABLE;
EVERY USER IS WHO THEY CLAIM TO BE;
EVERY APPLICATION WILL BE PROCESSED;
A TENANT WILL BE APPROVED;
A PROPERTY WILL BE RENTED;
SEARCH RESULTS WILL BE COMPLETE;
MAP INFORMATION WILL ALWAYS BE ACCURATE;
AI-GENERATED INFORMATION WILL BE CORRECT; OR

THE SERVICES WILL ALWAYS OPERATE WITHOUT INTERRUPTION.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded.

33. Interactions Between Users

Users are responsible for their interactions with other users.

Shagriha is not responsible for private agreements independently reached between Tenants and property owners or managers unless Shagriha expressly assumes such responsibility in writing.

Users should exercise reasonable care before:
Visiting properties
Meeting another user
Signing agreements
Providing sensitive information
Sending funds
Making deposits
Entering into leases

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHAGRIHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

THIS MAY INCLUDE LOSS ARISING FROM:

USER-PROVIDED INFORMATION;
PROPERTY LISTINGS;
THIRD-PARTY SERVICES;
DEALINGS WITH OTHER USERS;
SYSTEM INTERRUPTIONS;
UNAUTHORIZED ACCOUNT ACCESS;
LOSS OF DATA; OR
RELIANCE ON SEARCH, MAPPING, RECOMMENDATION, OR AI INFORMATION.

Nothing in these Terms excludes or limits liability where such limitation is prohibited by applicable law.

Legal review is recommended before Shagriha adopts a specific monetary liability cap.

35. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Shagriha and its officers, employees, affiliates, contractors, and agents from third-party claims arising from:

your unlawful use of Shagriha;
your violation of these Terms;
your User Content;
a property you list without authorization;
your violation of another person's rights; or
your violation of applicable law.

This provision does not require indemnification where prohibited by applicable law.

36. Privacy

Your use of Shagriha is also subject to the Shagriha Privacy Policy.

The Privacy Policy explains how we collect, use, store, and share personal information.

These Terms should link only to Shagriha's own current Privacy Policy and should not link to Sulekha or another company's privacy policy.

37. Copyright Complaints

If you believe content available through Shagriha infringes your copyright, please contact:

Please provide enough information for us to identify the material and understand the claimed infringement.

Additional procedures may be adopted as required by applicable copyright law.

38. Changes to the Services

Shagriha is actively developing the platform.

We may introduce, change, test, discontinue, or replace features including:

Search
Maps
Property-management tools
Applications
Messaging
Payments
Lease functionality
AI functionality
Recommendations
Mobile applications

The presence of a future feature in these Terms does not guarantee that the feature will be released.

39. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the Last Updated date.

For material changes, we may provide additional notice through:

the website;
your account;
email; or
another reasonable method.

Where applicable law requires affirmative consent to a material change, we will request such consent.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

40. Governing Law

These Terms and disputes concerning the Services will be governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law principles, except where applicable law requires otherwise.

41. Dispute Resolution and Arbitration

IMPORTANT: THIS SECTION SHOULD BE REVIEWED BY SHAGRIHA'S LEGAL COUNSEL BEFORE PUBLICATION.

To the extent permitted by applicable law, Shagriha and the user may agree to resolve disputes through binding individual arbitration rather than a jury trial or class-action proceeding.

If Shagriha adopts binding arbitration, the final published Terms should specify:

the arbitration administrator;
applicable arbitration rules;
procedures for initiating a claim;
allocation of arbitration fees;
location or remote-hearing options;
exceptions for small-claims proceedings;
any legally required opt-out procedure; and
any applicable class-action waiver.

Until those details have been reviewed and finalized by Shagriha's legal counsel, Shagriha should not copy the existing Sulekha-derived JAMS arbitration provision without review.

42. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent legally permitted.

43. No Waiver

If Shagriha does not immediately enforce a provision of these Terms, that does not necessarily mean that Shagriha has waived the right to enforce it later.

44. Assignment

You may not assign or transfer your rights under these Terms without Shagriha's prior written consent.

Shagriha may transfer these Terms as part of a merger, acquisition, corporate restructuring, asset transfer, or similar transaction, subject to applicable law.

45. Entire Agreement

These Terms, together with the Shagriha Privacy Policy and any additional terms expressly applicable to a particular Service, constitute the agreement between you and Shagriha concerning your use of the Services.
